Welcome to the digital studio of OvernightSites (the "Studio," "we," "us," or "our"). By purchasing The One-Day Website Intensive promotional offer for $800 (the "Service" or "Engagement"), you ("Client," "you," or "your") agree to be bound by the following legally binding Terms and Conditions.

1. Engagement Overview & The One-Day Promise

Traditional web design timelines are fundamentally broken, dragging out over 8 to 12 weeks. This Engagement completely flips the agency model by compressing weeks of bureaucratic lag into a high-velocity, single-day design sprint.

By purchasing this Service, you are hiring a professional Creative Principal to translate your brand vision, core intellectual property, and existing assets into a clean, sophisticated, mobile-optimized front-end digital storefront built exclusively on Shopify or Squarespace (excluding Wix and WordPress).

2. Promotional Validity Window (The 90-Day Rule)

• The Policy: You have exactly 90 calendar days from your initial date of purchase to schedule and execute your dedicated Design Day at this promotional $800 price point.

• Forfeiture: If you fail to schedule your Design Day or fail to submit the required creative assets within this 90-day window, the promotional rate expires, all fees paid are non-refundable, and you will be required to rebook under our current standard market pricing.

3. Strict Pre-Intensive Client Milestones

Step 1: Client Intake Form

Immediately upon securing your booking date, you must complete our targeted, proprietary questionnaire. This intake covers your $1M business objectives, audience psychology, chosen platform, and creative direction.

Step 2: Content & Asset Collection Deadline (14-Day Lock)

To guarantee our rapid execution, all core content materials must be submitted at least 14 days prior to your scheduled Design Day.

Required Materials Cover:

• Brand Guidelines: Exact hex codes for brand colors, primary and secondary font choices, key brand messaging, and company tagline.

• Visual References: Links to a curated mood board, Pinterest board, or visual inspiration sites you love, alongside preferred font files.

• Launch/Drop Messaging: If applicable, specific promotional text or product drop themes.

• Image Specifications: Main hero banners must be horizontal and a minimum of 1920px width. Product images must feature consistent square or vertical dimensions to ensure layout cleanliness.

Absentee Content Policy

If essential copy or image elements are missing by the 14-day deadline, the Studio reserves the right to add placeholder text, generic layout videos, or stock images to fulfill the structural design layout on schedule. You and your team retain full capability to replace this placeholder media at your own pace post-handoff. Alternatively, missing fundamental assets (such as a core text copy or a brand logo) may result in an immediate operational reschedule under the terms of Section 7.

4. The Creative Process & No Mock-Up Framework

To eliminate the weeks-long delays typical of traditional design builds, this Service does not utilize separate design sketches, wireframes, or preliminary mock-ups. We execute layout designs directly inside your live web platform using your completed Client Intake Form, mood board, and visual asset submissions as our explicit structural guide. Your 60% to 70% complete website platform serves as the true comprehensive first draft, which is audited and finalized collaboratively in real-time.

5. Explicit Scope of Work

The $800 promotional package strictly covers the strategic layout, content hierarchy, and visual design execution of a single Landing Page or Home Page template:

• Primary Template Mapping: Design architecture and up to 70% template visual execution of a visually stunning, mobile-responsive home or landing interface.

❌ Excluded Technical Implementation & Functionality (What is NOT Covered)

This offer is for front-end visual design and core conversion mapping only. It does not include any technical execution, custom software engineering, coding, back-end data configuration, or platform settings management. The following items are explicitly excluded from this service scope and must be managed by your internal development team after delivery:

• Custom Code/Typography: Writing or modifying HTML, CSS, or JavaScript outside native platform user interface configurations.

• Advanced E-commerce Logic: Configuration of shipping rules, multi-state tax logic, inventory management systems, or external payment gateways.

• Third-Party App Integration: Installation or custom troubleshooting of checkout extensions, countdown timers, pre-order forms, or loyalty software plugins.

• Content Creation: Copywriting, copyediting, proofreading, commercial video editing, resizing/cropping client photography, graphic design, or logo generation.

7. Cancellation, Rescheduling & Project Realignment

• Rescheduling Outside 48 Hours: You may request to reschedule your Design Day date or request a complete cancellation with a full refund up to 48 hours (two business days) prior to your booked reservation. We honor a maximum of one (1) complimentary reschedule request per client purchase. A second reschedule request will automatically trigger an administrative cancellation and full purchase refund, requiring you to formally re-register.

• Inside the 48-Hour Window: Once your project timeline falls within 48 hours of your scheduled slot, non-recoverable preparation, design setup, and studio hours are officially locked. At this stage, all fees become 100% non-refundable, and no further scheduling transfers or date changes are permitted.

Live Alignment, Project Resets & No-Refund Policy

7. Cancellation, Rescheduling, Project Realignment & Refund Policy

The Client explicitly acknowledges that because Overnight Sites deploys immediate senior-level strategy, asset analysis, operational scheduling, and proprietary client portal resources immediately upon booking, we operate under a strict, tiered refund model based on both calendar thresholds and asset-delivery milestones. By reserving a position on our studio calendar, you explicitly agree to the following terms:

A. Absolute Post-Initiation Non-Refundability

The Client explicitly acknowledges that the Studio’s physical fulfillment of the Service begins immediately upon our backend review of your Client Intake Form and the active deployment of initial creative direction. Once the physical design build, layout architecture, or creative asset alignment has officially commenced, NO REFUNDS—neither full nor partial—will be issued under any circumstances.

B. Compensation for Intellectual Property & Forfeiture

By entering into this agreement, the Client agrees that the Studio's proprietary strategic mapping, asset analysis, and immediate execution framework constitute delivered intellectual property. If the Client chooses to abandon the project mid-sprint, cancels the Live Review Session, or fails to engage, all fees paid are 100% forfeited to the Studio as liquidated damages for reserved studio time and creative direction delivery.

C. Milestone & Calendar Refund Triggers

• Post-Purchase Baseline Fee: Immediately upon checkout, you receive access to our proprietary client portal, content frameworks, and strategic preparation resources. Because these intellectual assets are delivered instantly, a maximum of 50% of the total purchase price is eligible for a refund from the exact moment of purchase, subject to the calendar windows below.

• The 21-Day Window (Maximum 50% Refund): You may request a maximum 50% refund or a single date transfer up until 21 calendar days prior to your scheduled Design Day, provided the Studio has not already initiated and delivered your active design link. Requests must be submitted in writing via email before the 21-day threshold hits.

• The 14-to-20-Day Window & The Design Link Lock: If your scheduled Design Day is less than 20 days away, but more than 14 days away, you may request a 50% refund ONLY IF the Studio has not yet transmitted the live development link to your website.

• The Absolute Cutoff: The Studio typically initiates physical production and transmits your active design link 14 days prior to your Design Day. The exact moment that this website design link is sent to you via email or client portal, your order becomes 100% NON-REFUNDABLE, regardless of how many days remain on the calendar. Sending this link signifies that our design production is live, your assets are actively being mapped, and non-recoverable creative labor has been spent.

• The 13-Day Lock (100% Non-Refundable): Once your scheduled Design Day is 13 days or less away, your order is completely non-refundable under all circumstances, whether or not the design link has been opened or accessed. No refunds (full or partial) will be issued, and no date transfers or reschedulings are permitted within this 13-day window due to locked studio availability.

D. Live Alignment & Project Resets (During the Review Call)

During your 45-60 minute Live Review Session, your project alignment will be handled under one of the two following strict pathways:

• Path A: Minor Course Correction: If the visual framework requires minor style or element placement tweaks during the Live Review Session, these adjustments will be performed live during the call to ensure a successful, on-time handover.

• Path B: Project Reset (180-Degree Pivot): If your feedback demands a complete shift in design style that directly contradicts your original Client Intake Form, selected mood boards, or submitted brand assets, a Project Reset is required. In this instance, work immediately stops, the 60% complete iteration is handed over "as-is," and a new Design Day must be purchased. The Studio will issue a 50% account credit from your initial purchase to apply toward booking your new slot (credits hold zero cash value and cannot be redeemed for a partial refund).

8. Final Launch Assurance & Ownership Handover

Upon completion of the Live Review Session and final administrative handoff, full administrative access and platform account ownership are immediately transferred to you. The platform becomes your sovereign digital asset.

The 48-Hour Launch Assurance Window

We provide a strict 48-hour window post-handover during which you may report any immediate layout omissions or broken internal links caused directly by our design execution. The Studio will resolve these specific design mistakes swiftly. All subsequent technical issues, changes to promotional campaign copy, or adjustments outside this 48-hour post-handoff window are entirely excluded from the base service and require enrollment in our 30-Day Launch Assurance or Ongoing Promotional Support monthly retainer packages.

9. Limitation of Liability

The Service provides professional front-end design formatting based strictly on client-provided inputs. The Studio does not guarantee specific conversion rates, monetization milestones, page speed performance numbers, search engine rankings, or software platform uptime. The Studio shall not be held liable for any direct, indirect, incidental, or consequential financial losses, app integration errors, or data mismanagement stemming from post-handoff platform operations.

10. Client Acknowledgement

By proceeding with your transaction and submitting your client registration payment of $800, you explicitly acknowledge that you have read, understood, and agreed to this Scope of Work, the 90-day validity window, the 14-day asset submission rule, and the strict 48-hour refund/reschedule commitment policy.
